  1. Value Added Tax (VAT)

          1.1          Our offers’ prices do not include VAT.

  1. Offer of Materials

          2.1          The individual codes of the materials can be changed without affecting the functionality of the system.

          2.2          Individual product codes may be changed by our company due to unavailability from manufacturers at the time of order, long delivery times, or other significant reasons deemed relevant by our company.

          2.3          Any materials or parts with photos that may be listed in our offer are indicative and not binding for our company and can be changed in accordance with the above.

         2.4          In the event that our company changes the codes of the materials due to the above reasons, our company will inform the customer in writing of this action. In any case where our offer does not specify a manufacturing company, then our company will supply the customer according to the availability of the materials of that period and without the obligation to inform on our part.

         2.5          If the customer requires specific material codes from a particular manufacturer, they must inform us in writing in order to make an appropriate offer.

         2.6          All offered materials are of excellent quality, selected from top global manufacturers.

         2.7          All manufacturers have ISO 9000 quality assurance certification.

         2.8          All materials are manufactured & approved, meeting the requirements & specifications of EN, BS, Vds, etc.

         2.9          If an offer is made without a prior site visit by our staff, an inspection will follow the initial acceptance to finalize material quantities, after which our final offer will be sent.

         2.10        The prices of our offer are valid for the total assignment of materials and works. In the case of a partial assignment, the prices of our offer may be modified.

         2.11        All technicians of our company are trained and certified by the material manufacturers.

         2.12        Prices are calculated based on the steel exchange rate, the currency of the manufacturing country, and oil prices on the offer date. If these rates change at the time of offer acceptance or contract signing, our offer will be adjusted accordingly.

  1. Extinguishing Materials

         3.1  Our offer includes quantities of extinguishing materials requested by the customer and are not related to the correctness, coverage or approval of the building’s fire protection study, for which study we bear no responsibility, unless conducted by our company.

  1. Firefighting Pumping Complex

         4.1  The electrical supply up to the Firefighting Pumping Complex panel is the responsibility of the customer.

         4.2  Our company is not responsible for issues arising from improper or incorrect use of the Firefighting Pumping Complex, which voids the warranty.

         4.3  Our company is not liable if the FU is used by the customer before training and final acceptance.

         4.4  The Firefighting Pumping Complex must only be handled and operated by appropriately trained personnel.

  1. Closed Circuit Television (CCTV) Terms

         5.1  During the CCTV installation phase, our company ensures proper system operation and customer staff training. The user is solely responsible for the recording device, cameras, data recording, processing, storage, and compliance with General Data Protection Regulation (GDPR).

  1. Work Execution Hours
    • Our offer considers and calculates Monday to Friday and from 08:30 am to 16:30 pm as working hours.
    • If the customer requires any work to be done outside of the above hours, it will be calculated and adjusted based on current legislation, with a supplementary financial offer specifying the new hours.
    • Our company does not work on Sundays and official holidays such as Christmas, Easter (Good Friday and Easter Monday), October 28th, etc.
  2. Delivery Times

         7.1          Upon acceptance of our offer and before starting cooperation, the following must be completed:

    • Completion of site inspection and work conditions assessment by our company.
    • The customer must send all requested technical clarifications and any other relevant information in writing.
    • Signing and sending of construction drawings (if required) by the customer.
    • Signing of the contract if required.

         7.2          The delivery time of materials/projects is as stated in our offer. The start date is the day after all observations in section 7.1 are clarified and the advance payment is received.

         7.3          Delivery times do not include August, December 23 to January 6, and the two weeks of Easter (Holy Week and the following week).

         7.4       Delivery times may change due to current conditions affecting international deliveries.

  1. Material Delivery Location and Document Signing

         8.1       The delivery location is a clean ground floor space at the customer’s site. A clean space is free of debris, trash, or ongoing technical work that could cause damage during delivery.

         8.2       For site deliveries, our company delivers to the vehicle ramp, and the customer is responsible for moving materials from the vehicle to the site. Our company is not liable for any damage after unloading to the vehicle ramp.

         8.3      Upon delivery, the customer or their representative must sign the legal delivery document (e.g., delivery note). If refused, materials will be returned to our company at the customer’s expense. If the customer does not sign but retains the materials, it is considered silent acceptance. Any post-delivery comments will be reviewed for accuracy but do not obligate our company.

  1. International Material Transport
    • Prices include transport costs from international manufacturers to our headquarters, based on rates at the offer date.
    • The prices for international shipping cannot be fixed at any stage of the project. They can only be confirmed when the materials are ready to be shipped from abroad to Greece. If there is a difference in the shipping cost at that stage, it will be borne by the end user.
  2. Material Returns

         10.1     Returns are accepted within 7 calendar days of receipt, only with the seller’s approval and provided the products are in the exact condition received, unused, and in their original packaging.

  1. Material Warranty

         11.1     Two (2) years against any normal damage or wear from delivery. The warranty does not cover damage due to insufficient maintenance, power outages, phase loss or voltage fluctuations, supply of incorrect voltage, improper use of the machine, use of non-manufacturer-approved parts or accessories, accidents, fire, extreme weather conditions, negligence by the customer’s staff, use of poor-quality fuel (where applicable), or improper cleaning of the machine from dust, oils, chemicals, moisture, corrosion, etc.

  • Certifications

         12.1     The company implements an Occupational Health and Safety Management System ISO 45001:2018, certified by TÜV AUSTRIA with certificate number 20152210005188, an Environmental Management System ISO 14001:2015, certified by TÜV AUSTRIA with certificate number 011776058680, and a Quality Management System ISO 9001:2015, certified by TÜV AUSTRIA with certificate number 010150245.

  • Licensing

         13.1     The company is licensed by the Ministry of Citizen Protection to provide security services under decision A.P. 3015/39/60/2010-kst.

  1. Insurance Coverage

         14.1     The company holds a General Liability Insurance policy with ERGO Insurance Single Member S.A. The compensation limits are as follows:

Per incident:

  • Bodily injury/death per person, up to €250,000
  • Bodily injury/death for group accidents, up to €750,000
  • Property damage, up to €300,000

Maximum liability of the company for the entire insurance period, up to €1,000,000.

INSURANCE OBJECT

The legal liability of the insured and their appointees for damages caused to third parties (bodily injury/death and/or property damage, including moral damage and mental anguish) during the installation and/or maintenance of active and passive security systems (BMS) in third-party facilities (residential, commercial properties, and industrial units) is covered.

         14.2    The insured is “KEMETA SA” as the main contractor, including engineers, subcontractors, or suppliers, for all their respective rights and interests, solely for the execution of the project undertaken by the insured.

         14.3       The geographical coverage of the policy is the Greek territory.

         14.4       Other terms of the policy are stated in the above insurance contract.

  1. General Data Protection Regulation (GDPR)

         15.1     The company commits to handling customers’ personal data with absolute confidentiality and discretion, as specified in the GDPR.

  1. Credit Insurance

         16.1     Our company collaborates with a major firm in the field of trade credit insurance and debt collection. The purpose of the insurance is to compensate our company for losses from insured, invoiced deliveries of goods or services caused by the financial inability of our customers. In such cases, the credit insurance company will contact our customers to pursue their debts to our company.

         16.2     Upon acceptance of our offer by the customer, our company conducts a credit check through the credit insurance company we collaborate with. If the credit insurance company denies coverage of the customer’s credit limit, our company will inform the customer that the stated payment method in our offer is void, and the full amount must be prepaid.

  1. Other Terms

         17.1      Material or system certificates will be sent to the customer after full payment of the invoice(s).

         17.2      Our offer does not include the cost of lifting equipment, the operator of special lifting equipment, or scaffolding that may be required. These costs are determined based on the customer’s requirements and are borne by the customer. If the customer requires a separate offer for these items, they must inform us in writing with detailed requirements (e.g., two lifting machines for height X for two weeks, scaffolding for height Y for three weeks, etc.).

         17.3      If the offer concerns a project, it includes:

  • A safety technician according to Law 3850/2010, who will provide advice on occupational health and safety and accident prevention. The working hours are determined by the above legislation and do not require their physical presence throughout the project.
  • Supervising engineer
  • Insurance coverage as stated in our offer terms.

         17.4      Any additional requirements from the customer will be charged extra, and the price will be based on the customer’s needs.
